Terms of Service

By accessing or using the DeelSignal platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

DeelSignal, Inc. ("DeelSignal", "we", "us") reserves the right to update these Terms. Continued use after changes constitutes acceptance of the updated Terms.

DeelSignal provides a deal management and intelligence platform for fund managers, investors, and founders. Features include deal pipeline management, AI-powered analysis (FundIQ™), portfolio monitoring (Portfolio Sentinel), data integrations (DSignal Connect), pitch page tracking, and related tools.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We are not liable to you or any third party for any modification, suspension, or discontinuation.

Account creation: You must provide accurate information when creating an account. You are responsible for maintaining the security of your credentials.

Workspace isolation: Each workspace is logically isolated. You are responsible for managing access to your workspace, including inviting team members and assigning roles.

Prohibited uses: You may not use the Service to: (a) violate any applicable law; (b) transmit spam, malware, or harmful code; (c) reverse-engineer or attempt to extract source code; (d) scrape or systematically harvest data from the platform; (e) resell or sublicense the Service without written permission.

Suspension: We may suspend or terminate accounts that violate these Terms, without liability to you.

Ownership: You retain ownership of all data you input into the Service ("Customer Data"). By submitting data, you grant DeelSignal a limited license to process that data solely to provide the Service.

Responsibility: You are responsible for ensuring you have the right to submit Customer Data to the Service and that doing so does not violate any third-party rights.

No data resale: We do not sell, share, or use Customer Data for purposes outside of operating your account. See our Privacy Policy for full details.

Deletion: Upon account termination, we will delete Customer Data within 30 days per our Privacy Policy.

Subscription fees: Paid plans are billed monthly or annually in advance. All fees are in USD.

Free plan: The Free plan is subject to the usage limits described on the Plans page. We reserve the right to change those limits with 30 days notice.

Upgrades and downgrades: Plan changes take effect at the next billing cycle. Upgrades are prorated.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods, except where required by law.

Failed payments: If payment fails, we will attempt to retry and notify you by email. Accounts with sustained non-payment may be suspended.

All billing is processed by Stripe. By subscribing, you agree to Stripe's terms of service.

DeelSignal IP: The Service, including all software, AI models, UI elements, and brand assets, are owned by DeelSignal and protected by intellectual property laws. Nothing in these Terms transfers ownership to you.

Your IP: You retain all rights in Customer Data and content you create using the Service.

Feedback: If you provide us with feedback or suggestions about the Service, we may use that feedback without obligation to you.

DeelSignal includes AI-powered features including FundIQ™ (deal analysis and portfolio queries), Portfolio Sentinel (automated monitoring), and DSignal AI report generation.

Accuracy: AI outputs are provided for informational purposes and are not investment advice. AI models can make errors, and outputs should be independently verified before any investment decision.

Data use: Your prompts and queries may be used to improve model accuracy in aggregate, anonymized form unless you opt out via Settings > Privacy.

No reliance: DeelSignal is not responsible for investment decisions made based on AI-generated content. Always apply professional judgment.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Disclaimer of warranties: THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation: IN NO EVENT SHALL DEELSIGNAL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Cap: OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNTS PAID BY YOU TO DEELSIGNAL IN THE THREE MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow limitation of liability for consequential damages, so some of the above may not apply to you.

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

For Enterprise customers with a signed order form, disputes will be resolved through binding arbitration under JAMS rules in San Francisco, California.

For other users, you agree to exclusive jurisdiction in the state and federal courts located in San Francisco, California.

Class action waiver: You agree to resolve disputes individually and waive any right to participate in a class action lawsuit or class-wide arbitration.

Entire agreement: These Terms, together with our Privacy Policy and any order forms, constitute the entire agreement between you and DeelSignal regarding the Service.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.

No waiver: Failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
